8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, CAFE RIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTRACTORS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY:

IN NO EVENT SHALL CAFE RIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CAFE RIO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Certain state laws may not allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you may have additional rights.
9. Indemnification
You agree to defend, indemnify, and hold harmless Cafe Rio, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use of the Site or services in any manner not authorized by these Terms
- Your violation of any applicable federal, state, or local law or regulation
- Your infringement or misappropriation of any intellectual property or other rights of any third party

13. Dispute Resolution and Arbitration
13.1 Informal Resolution

We will make good-faith efforts to resolve your concern within thirty (30) days of receiving your written notice of dispute. If the dispute is not resolved within this period, either party may pursue the formal dispute resolution procedures described below.
13.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Unless both you and Cafe Rio agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
13.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14. Term and Termination
These Terms of Service will remain in full force and effect for as long as you use the Site or maintain an account with Cafe Rio. Cafe Rio may, in its sole and absolute discretion, terminate or suspend your access to all or any portion of the Site at any time, with or without notice, for any reason or no reason, including without limitation any breach of these Terms.
